Terms of Service

By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms apply to all visitors, users, and others who access or use the Service.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on our Service prior to the changes taking effect. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal or internal business purposes. This license does not include any right to resell or make commercial use of the Service or its contents, or any derivative use of the Service or its contents.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any local, state, national, or international law
• Violating or encouraging others to violate the rights of third parties, including intellectual property rights
• Posting, uploading, or distributing any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem offensive
• Interfering with security-related features of the Service or attempting to gain unauthorized access to the Service or its related systems
• Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of the Service
• Using any automated system, including robots, spiders, or scrapers, to access the Service without our prior written permission
• Collecting or harvesting any personally identifiable information from the Service
• Impersonating another person or entity or falsely stating or misrepresenting your affiliation with a person or entity
• Using the Service to transmit any viruses, worms, or other malicious code
• Attempting to manipulate, exploit, or abuse our AI systems or algorithms

Nature of AI Responses

Our Service uses artificial intelligence and machine learning technologies to provide information about real estate in Dubai. While we strive for accuracy, AI-generated responses are provided for informational purposes only and should not be considered as professional advice, including but not limited to legal, financial, or real estate advice.

No Warranty of Accuracy

We do not warrant that the information provided through the Service is accurate, complete, reliable, current, or error-free. Real estate markets are dynamic and subject to constant change. You should always verify information provided by our Service with qualified professionals before making any real estate decisions.

Professional Consultation

You acknowledge that the Service does not replace the need for professional consultation with qualified real estate agents, lawyers, financial advisors, or other professionals. Any actions you take based on information provided by our Service are at your own risk.

Our Intellectual Property

The Service and its entire contents, features, and functionality, including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof, are owned by Vali, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Your Content

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods for the purpose of providing and improving the Service.

You represent and warrant that you own or have the necessary rights to submit the User Content and that the User Content does not violate the intellectual property rights of any third party.

Fees and Billing

Certain features of the Service may be provided for a fee or on a subscription basis. You agree to pay all fees and charges associated with your account according to the pricing and payment terms presented to you at the time of purchase. All fees are non-refundable unless otherwise stated or required by applicable law.

Automatic Renewal

If you purchase a subscription, your subscription will automatically renew at the end of each subscription period unless you cancel it before the renewal date. You authorize us to charge your payment method for the renewal subscription fee. We will provide you with notice of any changes to the subscription fees before they take effect.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting customer support. Upon cancellation, you will continue to have access to the subscription features until the end of your current billing period, after which your subscription will terminate and you will not be charged further.

To the fullest extent permitted by applicable law, in no event shall Vali, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Any real estate decisions or investments made based on information provided by the Service

In no event shall our aggregate liability exceed the greater of one hundred dollars ($100) or the amount you paid us, if any, in the past six months for the Service giving rise to the claim.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the Service will function uninterrupted, be secure or available at any particular time or location, be error-free, or that defects will be corrected. You assume all risk for any damage that may result from your use of or access to the Service.

You agree to indemnify, defend, and hold harmless Vali and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of or inability to use the Service
• Your violation of these Terms
• Your violation of any rights of another party, including any intellectual property rights
• Your User Content
• Any claim that your User Content caused damage to a third party

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or through your account settings. Upon termination of your account, we will delete or anonymize your personal information in accordance with our Privacy Policy and applicable law, except where we are required to retain certain information for legal or regulatory purposes.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be settled by negotiation between the parties. If the parties cannot reach an agreement within 30 days, the dispute shall be referred to and finally resolved by arbitration under the rules of the Dubai International Arbitration Centre (DIAC).

The arbitration shall be conducted by one arbitrator appointed in accordance with DIAC rules. The place of arbitration shall be Dubai, United Arab Emirates, and the language of the arbitration shall be English.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Vali regarding the Service and supersede all prior agreements and understandings, whether written or oral.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid, enforceable provision that most closely matches the intent of the original provision.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you. Any attempted transfer or assignment in violation of this provision shall be null and void.
